Choose Your Beat License: From Free to Exclusive

Non-Exclusive Basic Beat License Agreement

Effective Date: The date of your purchase and payment.
Between: Frederick Varango p/k/a Supah Sonic ("Producer" or "Licensor")
And: Licensee ("You" or "Licensee")

This agreement grants you a non-exclusive license to use the purchased instrumental beat (the "Beat") in exchange for your payment of $19.99 (the "License Fee").

1. Payment & Delivery

  • Your payment of the License Fee is required before this agreement is valid.
  • Upon payment, we will email you the Beat as a high-quality MP3/WAV file.

2. Term
This license lasts for 10 years from the Effective Date.

3. What You Can Do (Your Rights)
For your paid fee, we grant you a non-exclusive, worldwide license to:

  • Create one (1) new song (the "New Song") by adding your lyrics or combining the Beat with your original music. You may adjust the Beat's tempo, pitch, or length for this purpose.
  • Distribute the New Song for sale or streaming, with the following limits:

5,000 total downloads or physical copies (CDs, vinyl).

  1. 50,000 monetized audio streams.
  2. 5,000 free downloads.
  • Use the New Song in:
    1. 1 for-profit live performance (concert, club).
    2. 5 non-profit performances.
    3. 1 radio station play.
    4. One (1) music video (up to 5 mins long) for promotional or non-monetized viewing.
  • Credit the Producer as "Produced by Supah Sonic" on all releases, covers, and liner notes.

4. What You CANNOT Do (Restrictions)
You agree NOT to:

  • Sell or license the Beat by itself (you must use it in a New Song).
  • Claim ownership of the Beat's master recording or underlying composition.
  • Register the Beat or New Song with any Content ID system (like YouTube's Claim system). This is to prevent false copyright claims against you.
  • Use the Beat in TV, film, commercials, or video games beyond the one music video allowed.
  • Transfer this license to someone else.
  • Isolate and re-use individual sounds/samples from the Beat in other projects.
  • Sample the Beat in other artists' work.

5. Ownership

  • Producer Ownership: We remain the sole owner of the Beat's copyright (both the master recording and the underlying music).
  • Your Ownership: You own any original lyrics or melodies you create for the New Song.
  • Publishing Split: The publishing rights for the New Song's composition are split as follows: You own 50% of the composition and 50% of the publishing. Producer (Supah Sonic) owns the other 50% of the composition and 50% of the publishing.

6. Royalties & Mechanical License

  • You agree that Producer is entitled to 50% of all royalties (mechanical, performance, sync) generated by the New Song.
  • For sales in the USA and Canada, you will pay mechanical royalties at 100% of the statutory rate.

7. Producer's Option to Buy Back
We have the right, within 3 years of this agreement, to terminate your license by paying you $39.98 (200% of your License Fee). If this happens, you must immediately remove the New Song from all platforms.

8. Breach of Agreement
If you violate this agreement, you will have 5 business days to correct the issue after we notify you. If not corrected, we can terminate your license and you may be liable for damages, including our legal costs.

9. Warranty & Indemnity
The Beat is licensed "as is" with no guarantees. You agree to cover and hold us harmless from any legal issues arising from your use of the Beat.

10. General Terms

  • This is the entire agreement between us.
  • It is governed by the laws of France.
  • Your payment and electronic acceptance of these terms at checkout serve as your signature and binding acceptance of this agreement.

 

Non-Exclusive Gold Beat License Agreement

Effective Date: The date of your purchase and payment.
Between: Frederick Varango p/k/a Supah Sonic ("Producer" or "Licensor")
And: Licensee ("You" or "Licensee")

This agreement grants you a non-exclusive license to use the purchased instrumental beat (the "Beat") in exchange for your payment of $29.99 (the "License Fee").

1. Payment & Delivery

  • Your payment of the License Fee is required before this agreement is valid.
  • Upon payment, we will email you the Beat as both high-quality WAV and MP3 files.

2. Term
This license lasts for 10 years from the Effective Date.

3. What You Can Do (Your Rights)
For your paid fee, we grant you a non-exclusive, worldwide license to:

  • Create one (1) new song (the "New Song") by adding your lyrics or combining the Beat with your original music. You may adjust the Beat's tempo, pitch, or length for this purpose.
  • Distribute the New Song for sale or streaming, with the following increased limits:
    1. 10,000 total downloads or physical copies (CDs, vinyl).
    2. 500,000 monetized audio streams.
    3. 20,000 free downloads.
  • Use the New Song in:
    1. 3 for-profit live performances (concerts, clubs, festivals).
    2. Unlimited non-profit performances.
    3. 5 radio station plays.
    4. One (1) monetized music video (up to 5 mins long).
  • Credit the Producer as "Produced by Supah Sonic" on all releases, covers, and liner notes.

Non-Exclusive Premium Beat License Agreement

Effective Date: The date of your purchase and payment.
Between: Frederick Varango p/k/a Supah Sonic ("Producer" or "Licensor")
And: Licensee ("You" or "Licensee")

This agreement grants you a non-exclusive license to use the purchased instrumental beat (the "Beat") in exchange for your payment of $69.99 (the "License Fee").

1. Payment & Delivery

  • Your payment of the License Fee is required before this agreement is valid.
  • Upon payment, we will email you the Beat as MP3, WAV, and Trackout Stems (separated audio files).

2. Term
This license lasts for 10 years from the Effective Date.

3. What You Can Do (Your Rights)
For your paid fee, we grant you a non-exclusive, worldwide license to:

  • Create one (1) new song (the "New Song") by adding your lyrics or combining the Beat with your original music. You may adjust the Beat's tempo, pitch, or length for this purpose.
  • Distribute the New Song for sale or streaming, with the following premium limits:
    1. 20,000 total downloads or physical copies (CDs, vinyl).
    2. 1,000,000 monetized audio streams.
    3. 50,000 free downloads.
  • Use the New Song in:

    1. 10 for-profit live performances (concerts, clubs, festivals).
    2. Unlimited non-profit performances.
    3. 20 radio station plays.
    4. Two (2) monetized music videos (each up to 5 mins long).
  • Credit the Producer as "Produced by Supah Sonic" on all releases, covers, and liner notes.

4. What You CANNOT Do (Restrictions)
You agree NOT to:

  • Sell or license the Beat by itself (you must use it in a New Song).
  • Claim ownership of the Beat's master recording or underlying composition.
  • Register the Beat or New Song with any Content ID system (like YouTube's Claim system). This is to prevent false copyright claims against you.
  • Use the Beat in TV, film, commercials, or video games beyond the two music videos allowed.
  • Transfer this license to someone else.
  • Isolate and re-use individual sounds/samples from the Beat in other projects.
  • Sample the Beat in other artists' work.

If you violate this agreement, you will have 5 business days to correct the issue after we notify you. If not corrected, we can terminate your license and you may be liable for damages, including our legal costs.

9. Warranty & Indemnity
The Beat is licensed "as is" with no guarantees. You agree to cover and hold us harmless from any legal issues arising from your use of the Beat.

10. General Terms

  • This is the entire agreement between us.
  • It is governed by the laws of France.
  • Your payment and electronic acceptance of these terms at checkout serve as your signature and binding acceptance of this agreement.
